Business Registration in Russia — A Complete Guide for Foreign Entrepreneurs

Russia opens up significant opportunities for foreign entrepreneurs: import and export, trade, technology, services, industrial projects. The Russian market is over 140 million consumers, with abundant raw materials and a strategic position between Europe and Asia. Business registration in Russia as a foreign citizen is perfectly possible and follows the same legal procedures as for Russian citizens, with a few simple additional requirements.

At Global Docs Pro, we provide full legal and document support for business registration in Russia. Our services cover everything: from choosing the optimal legal form to obtaining all necessary documents and permits. Our team understands the specifics of working with foreign clients and simplifies procedures with tailored solutions.

Russian law offers several legal forms for doing business. Each form has its own advantages and features suitable for different types of activity. The right choice is one of the key decisions when launching a project in Russia, as it affects financial liability, administrative procedures and tax obligations.

Limited Liability Company (LLC)

The LLC is the most popular legal form for foreign investors in Russia. It features limited liability of members within their stakes in the charter capital, protecting personal assets. The minimum charter capital is just RUB 10,000, with 1 to 50 members. Foreign citizens can be founders and directors of the company, subject to work permit requirements for non-residents. This form is ideal for medium and large businesses and offers flexibility in management and profit distribution.

Individual Entrepreneur (IE)

The individual entrepreneur (IE) is simpler to register and manage but carries unlimited personal liability with all personal assets. This form is available only to registered residents of Russia and is not recommended for non-residents due to legal and practical restrictions. Despite simple procedures and low administrative costs, unlimited personal liability makes it a risky choice for foreign investors.

Representative Office or Branch

A representative office and branch are suitable options for existing foreign companies wanting a presence in Russia without creating a separate legal entity. A representative office is limited in activity: representation, marketing and research only, without the right to direct commercial activity. A branch has broader powers and can conduct the parent company’s activities. Both options require registration with Russian government authorities.

Steps to Register an LLC in Russia

The process of registering an LLC in Russia goes through several sequential stages. Each stage has its own requirements and deadlines, and an error at any stage can lead to refusal or delay. We manage all stages to ensure the fastest possible registration.

The company name must be unique and not repeated in the Unified State Register of Legal Entities. We check name availability before starting procedures. The legal address must be a real address in Russia, not a post-office box, since the Federal Tax Service sends official correspondence to this address. We provide a legal address service for companies without premises in Russia yet, including receiving official mail and forwarding it to you.

2. Defining business activities (OKVED codes)

All activities in Russia are classified by OKVED codes — the All-Russian Classifier of Economic Activities. You need to select a main code for the core activity and additional codes for secondary ones. Up to 50 activity codes can be included in the founding documents. The right choice is critical: it determines the type of license, the applicable tax system and certain restrictions.

3. Preparing founding documents

The founding documents include the charter and the founder’s (founders’) decision. The charter is the key document regulating the company structure, management, rights and obligations of members. The charter must contain the company name, legal address, activity codes, charter capital and decision-making procedure. We prepare all documents in accordance with Russian legal requirements, tailored to your needs. Documents are drawn up in Russian, with certified translations into English or Arabic available.

4. Appointing the general director

The company appoints a general director responsible for management and representation before third parties and government authorities. A foreign citizen can hold the position of general director with a work permit or residence permit. If you don’t have a resident director, we can provide a local director service until you appoint your own. The general director has broad powers under Russian law, so we recommend setting clear internal limits in the charter.

5. Notarization and submission to the Federal Tax Service

After preparing all documents, they must be notarized and submitted to the Federal Tax Service (FTS). The package includes the registration application, charter, appointment decision, passport copy with translation and notarization, and the state duty receipt. We submit documents electronically or in person. The state duty is RUB 4,000, but it is waived for electronic submission. Processing takes 3 to 5 business days.

6. Receiving registration documents

Upon approval, the FTS issues official documents: OGRN — the primary state registration number, INN — the taxpayer identification number, and the charter stamped by the tax service. These documents officially confirm your company’s existence as a legal entity in Russia. We verify the accuracy and completeness of documents and deliver electronic copies immediately.

7. Opening a bank account

After receiving registration documents, you must open a bank account for the company. The account is needed for depositing charter capital, conducting transactions and paying taxes. Some banks require the director’s personal presence, others accept a power of attorney. We help choose a bank based on your business type, fees, foreign currency capabilities and online services.

8. Obtaining licenses when needed

Some activities require special licenses: financial, insurance, educational, medical, transport and others. If your activity requires a license, we help identify the licensing authority and prepare the full application. Licensing can take extra time, so we recommend starting early. Even without a license, the company can conduct activities that don’t require licensing immediately after registration.

Documents Required from a Foreign Founder

A foreign founder must provide a set of basic documents to complete registration. These documents confirm the founder’s identity and legal status. We help prepare each document in the required form.

  • International passport with notarized Russian translation — the translation is done by a certified translator and notarized by a Russian notary. This is a mandatory requirement for filing with the FTS.
  • Proof of residence address in the home country — a document confirming your actual address, such as a utility bill, lease agreement or municipal certificate. Required as part of KYC procedures.
  • Notarized power of attorney for remote registration — if you register the company remotely, a power of attorney for our representative is issued. It is obtained at the Russian consulate or from a local notary, with subsequent apostille or consular legalization.
  • Founding documents for corporate founders — if the founder is a company rather than an individual, provide the certificate of incorporation, extract from the register and other documents confirming the company’s legal status. These are translated and notarized.

Special Considerations for Foreign Entrepreneurs

There are several important points that foreign entrepreneurs should consider when registering a business in Russia. Understanding them in advance helps avoid problems and ensures project success.

Work permit for a foreign director

To hold the position of general director and work in Russia, a work permit is required. This is an official document allowing a foreigner to work legally in Russia. The process includes filing an application with the Ministry of Internal Affairs, confirming qualifications and passing a medical examination. Exceptions exist for permanent residents and citizens of EAEU countries. We provide advice on work permit requirements.

Banking compliance

Russian banks apply strict KYC procedures to foreign founders. They include verifying the source of funds, beneficial owners and the purpose of opening an account. Some banks request additional documents: bank statements, financial reports, tax certificates from the country of origin. We help prepare a complete file meeting bank requirements.

Double taxation avoidance agreements

Russia has double taxation avoidance agreements with many countries, including the UAE, Egypt, Saudi Arabia, Qatar, Kuwait, Bahrain and Oman. These agreements reduce or eliminate withheld taxes on dividends, interest and royalties. For example, the dividend tax may drop from 15% to 5–10% under the agreement. We help structure your business to benefit from these agreements in full compliance with the tax laws of both countries.

Currency control

Financial transactions between Russian and foreign entities are regulated by Russian currency legislation. Transactions in foreign currency must be reported and follow money transfer rules. The bank must be notified of each transaction above a certain amount, with supporting documents. Violations of currency control can result in significant fines.

Post-registration Services

Company registration is only the first step in doing business in Russia. After registration, there are ongoing obligations to maintain the company’s legal status. We offer a comprehensive package of post-registration services at every stage of growth.

Accounting and tax reporting

Russian companies are required to file tax reports regularly — quarterly or monthly depending on the tax. Reports include VAT, profit tax, insurance contributions, payroll taxes. Late filings or errors lead to fines. We provide full accounting services: preparing and filing reports on time, maintaining books per Russian standards.

The company must have a valid legal address in Russia for the entire period of activity. This is the official address for government correspondence. We provide the legal address service: receiving official mail and forwarding it. We ensure the address is correctly registered in the registry and updated when changed.

Bank account management

We help manage your corporate bank account: preparing documents for international transfers, complying with ongoing bank requirements. We advise on best practices with Russian banks and foreign currency. We monitor changes in bank policies and regulations.

Work permits for foreign employees

When hiring foreign employees, a work permit is required for each position. The process includes Ministry of Labour quotas, work invitations and permit registration. We provide comprehensive support for hiring foreign staff.

Annual reports to the Federal Tax Service

Every Russian company must file an annual report with the FTS, including key financial data and information about members. The report is due in the first quarter of each year. Failure to file risks fines and even removal from the registry. We prepare and file all annual reports on time.
